Resumen The Lead Counsel reporting to Panasonic North America, supporting Hussmann as well as Panasonic, is responsible for advising Mexico operations on all general business law, including litigation, labor & employment, commercial contracts, and corporate secretarial matters. Responsabilidades LEAD COUNSEL GENERAL BUSINESS LAW INCLUDING LITIGATION, LABOR & EMPLOYMENT, COMMERCIAL CONTRACTS & CORPORATE SECRETARIAL Advise Mexico operations on all labor and employment laws. Assist with arranging and properly documenting all necessary and/or appropriate meetings required to maintain corporate governance and maintain corporate records. Draft, review, and negotiate commercial agreements, including manufacturing agreements, procurement agreements, real estate, and non-disclosure agreements. Draft, review, and negotiate supply chain contracts and handle related issues, including import/export compliance. Manage dispute resolution matters, including litigation, arbitrations, and mediations. Manage product compliance for sales of goods in commerce in Mexico. ETHICS & COMPLIANCE SUPPORT Manage tracking of compliance requirements of local, state, and federal governments and ensure reporting requirements are followed in accordance with all applicable laws. Identify and manage local internal control needs to prevent and detect significant instances or patterns of illegal, unethical, or improper conduct. Oversee and/or conduct employee misconduct investigations at Spanish-speaking locations as directed by the Office of Ethics & Compliance Head of Investigations and maintain current data in the company’s hotline and ethics and compliance reporting tool(s). Conduct and manage local government or legal compliance investigations as required and directed by the Chief Legal Officer or executive Legal & Compliance members. Identify and assess areas of compliance risk for the company, including but not limited to antitrust, anticorruption, privacy, and trade (sanctions/import/export). Ensure compliance with all Maquiladora-related laws and regulations. Conduct compliance reviews at the direction of the Chief Ethics & Compliance Officer to evaluate the effectiveness of compliance programs in Mexican facilities. Support Mexican entities in connection with North America compliance program. Conduct engaging live training at the direction of the Ethics & Compliance Office and as needed to mitigate compliance risks, encouraging a culture of ethics and compliance. Calificaciones Education & Experience 10+ years of experience in-house or at a major law firm, with prior experience conducting employee and white-collar defense investigations. Fluent in spoken and written Spanish and English. General knowledge of laws and policies applicable to Mexican corporations. Knowledge of U.S. and Mexican laws and governance requirements, responsibilities, and obligations applicable to shareholders, directors, and officers of maquiladora companies. Knowledge of battery industries in Mexico preferred. Knowledge of environmental regulations and construction laws preferred. Knowledge of requirements and procedures for organizing, conducting, and documenting formal meetings of shareholders and directors of Mexican companies. Knowledge of U.S. and Mexican laws applicable to the establishment and operation of maquiladora companies. Occupational health and safety regulations experience preferred. Qualification as an attorney in Mexico required. Dual qualification as an attorney in both Mexico and U.S. preferred. Solid background in governmental matters and corporate tax issues. Experience with construction and other real estate. Problem Solving Extensive knowledge of legal regulations and practices for assigned subject areas and business sectors.
